Token Warrant Terms for Investment in India-Linked Web3 Projects

A token warrant can bridge an equity investment and a future token economy, but it can also hide the most important economics outside the share documents. For an investor, the question is not simply how many tokens the warrant promises. It is whether the issuer, trigger, allocation, control rights and remedies are all visible before money moves.

For India-linked projects, the starting point is a structure map. It should show the Indian operating company, any foreign holding company or foundation, the entity expected to issue tokens, repositories, treasury wallets, founders and the investor. A warrant cannot cure a missing link between the entity receiving cash and the entity that will control the promised token allocation.

Identify the Issuer and the Actual Promise

The agreement should name the legal issuer and say whether the investor receives a contractual right, a right to acquire an identified future asset, or a right that depends on a later corporate or protocol decision. Avoid a generic promise that “tokens will be issued when available.” The document should state the token supply basis, allocation percentage or formula, dilution treatment, any treasury reserve, the allocation vehicle and the conditions precedent to issuance.

The Indian Contract Act, 1872 is the core source for the bargain: the parties should make the consideration, performance triggers, obligations and remedies intelligible. Where an Indian company is involved, the board and shareholder record should also match the transaction documents. The official Companies Act, 2013 materials are a useful starting point for checking authority, approvals, company records and the distinction between company rights and separate token-side promises.

Separate Equity Instrument Analysis From Token Economics

Do not label a token warrant as though it automatically fits the treatment of a share warrant. RBI’s current Master Direction on Foreign Investment in India explains that foreign investment in an Indian company is governed through the FEMA and non-debt instrument framework, and identifies equity shares, convertible instruments and share warrants as equity instruments.

That does not answer the treatment of every token-linked contractual right. Deal counsel should map the investor’s residence, investing entity, recipient entity, payment path, equity instrument, token-side promise and any future offshore funding. If the investment is into an Indian company, the documents should not assume that a later token allocation is irrelevant to pricing, reporting, ownership or control analysis. If an Indian entity will support an overseas issuer or treasury, the foreign investment and operating steps should be reviewed together.

Write Trigger Events That Can Be Verified

The trigger should be objective. Common choices include token generation, network launch, a board-approved allocation event, completion of a financing, or an exit. Each needs a long-stop date, evidence standard, notice process and outcome if the event never occurs.

Define whether the investor receives tokens before or after employee, adviser, foundation and ecosystem allocations; whether the percentage is calculated on fully diluted supply; and whether burns, rebases, forks, airdrops or governance proposals change the bargain. A conversion table should be an exhibit, not a slide-deck footnote.

Make Treasury and Control Protections Operational

Investor protection has little value if founders or contractors can move the relevant allocation without a record. The warrant and related governance documents should specify wallet custody, multisignature threshold, key rotation, approved signatories, transfer restrictions, reporting cadence and the treatment of staking, grants, market-making and locked tokens.

The paperwork should also connect protocol IP to the economics. If code, trademarks, domains or repositories are owned by an Indian company while tokens sit with another vehicle, investors need covenants that preserve the licence, assignment and change-of-control outcome. Otherwise, a token right may survive on paper while the assets needed to support it sit elsewhere.

Check the Operating Perimeter Before Marketing the Right

Token warrant terms should not make assurances about exchange access, custody, transfers or token administration without a factual operating review. FIU-IND’s official downloads page publishes materials for virtual digital asset service providers, including its AML and CFT guidelines. Those materials help identify activities that may require a more careful operating and governance workstream.

Record the conclusion in the board file and align the warrant’s information rights with it. The aim is not to turn a commercial instrument into a compliance manual; it is to ensure that the investor is not promised a liquidity path or treasury operation that the structure cannot presently support.

Common Mistakes

  1. Using “token warrant” as a label instead of defining the right. The issuer, allocation basis, trigger and remedy must be written, not inferred from a fundraising deck.
  2. Leaving token economics outside the investment approval file. Equity terms, token-side rights and wallet control should be reviewed as one transaction story.
  3. Treating a future launch as a sufficient trigger. A defensible warrant needs a long-stop date, evidence, adjustment rules and a consequence if launch never occurs.

FAQs

1. Is a token warrant the same as a share warrant?

Not necessarily. A share warrant is addressed within a corporate and foreign-investment framework; a token-linked contractual right needs its own analysis of the issuing entity, promised asset, payment and operating facts.

2. Should the token issuer always be the company receiving the investment?

Not always, but a different issuer creates a diligence issue. The documents should explain the legal and commercial connection, approvals, IP access and investor remedy across both entities.

3. What happens if token generation never occurs?

The warrant should state a long-stop date and outcome, such as a replacement economic right, renegotiation process, buy-back mechanism where lawful, or a defined termination remedy.

4. Which rights matter most after signing?

Information rights over allocation changes, treasury movement, key control, IP status, launch milestones and any material change to the agreed token economics are usually the practical starting point.
