DAO Structuring Issues for Indian Web3 Teams
An Indian Web3 team should not treat a DAO as a shortcut around legal structure. Investors and partners will still ask who owns the code, who controls treasury assets, who can bind the project and who is responsible when a community vote creates real-world obligations.
The practical question is whether the DAO is only a governance layer, a contributor community, a token-voting mechanism, a treasury controller, a product operator or a commercial counterparty. Each answer creates a different diligence file.
Start With A Role Map
The first document should be a role map. It should identify the Indian company, founders, developers, token holders, multisig signers, offshore foundation or company if any, protocol contributors, service providers and any entity that signs contracts, holds IP, receives revenue or controls treasury movement.
That map should separate branding from legal authority. A project may call itself decentralised while a small founder group still controls repositories, admin keys, treasury wallets, grants and integrations. Investors will diligence the control reality, not the public label.

Control should be documented with the same care. Investors will ask who can upgrade contracts, pause protocol functions, move funds, change parameters, approve grants, merge code, appoint signers and respond to an exploit. If those powers sit with named individuals, the documents should explain their authority and removal mechanics.
Open-source use should be reviewed as part of the same workstream. A DAO may be community-led, but an investor or acquirer will still care whether the project can commercially use, modify and distribute the software on which value depends.
